Terms of Service

1. Acceptance of Terms

By creating an account, accessing the dashboard, or using any feature of SocialPilot AI ("the Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and SocialPilot AI.

2. Description of Service

SocialPilot AI is an autonomous, AI-powered marketing platform that researches, optimizes, and distributes content across social media platforms and optimizes it for discovery on search and AI-answer engines. The Service includes content analysis, trend research, scheduling, publishing, analytics, automation features, and AI-powered image and video generation tools.

3. Definitions

"Account" means your registered SocialPilot AI account.
"Content" means any media, text, topic, or material you upload, create, or generate through the Service.
"Generated Content" means images, videos, text, or other material produced by the Service's AI features.
"Plan" means the subscription tier you have selected (Free Trial, Creator, Pro, Business, or Ultra).
"Workspace" means a brand or project environment within your account where content and settings are organized.

4. Eligibility

You must be at least 16 years old (or the age of digital consent in your country) to use the Service. By registering, you represent that you meet this requirement, have the legal capacity to enter into these Terms, and are authorized to act on behalf of any organization you represent.

5. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and onboarding and to keep it current. You may not share your account credentials or transfer your account to another person. You must notify us immediately of any unauthorized use of your account.

6. Free Trial

New accounts receive a one-time, 7-day free trial with full access to the Service. The trial begins upon registration. No credit card is required to start the trial. The trial has no monetary value, cannot be extended or transferred, and may not be combined with other offers. AI Image and Video Generators are limited to 1 image and 1 video total during the trial period. After the trial ends, a paid subscription is required to continue using the Service.

7. Subscriptions & Billing

Paid plans (Creator, Pro, Business, Ultra) are billed monthly or annually in EUR through Base44 Payments. Subscriptions renew automatically at the end of each billing cycle until canceled. Prices are listed on our Pricing page and may change; price changes apply to future billing cycles after notice. You authorize us to charge the recurring subscription fee to your payment method until you cancel. Annual plans are billed upfront for 12 months and include a 15% discount compared to monthly billing.

8. Plan Features & Limitations

Each plan includes specific features and usage limits as described on our Pricing page. AI Image and Video Generator limits are described in our Generator Terms & Conditions. We reserve the right to modify plan features and limits with reasonable notice. Unused generations, credits, or features do not roll over between billing cycles.

9. Cancellation & Refunds

You can cancel your subscription at any time from your account settings. Cancellation stops future renewals; access continues until the end of the current paid period. Because we provide a full-access free trial before payment, paid subscriptions are generally non-refundable, except where required by law. If you cancel an annual plan, no prorated refund is provided for the remaining months. If you believe a charge was made in error, contact support for review within 30 days of the charge.

10. Acceptable Use

You agree not to: (a) upload or generate content that is unlawful, infringing, hateful, harassing, defamatory, or harmful; (b) use the Service to spam, deceive, manipulate platforms or audiences, or spread disinformation; (c) attempt to access, disrupt, reverse-engineer, scrape, or benchmark the Service; (d) resell, sublicense, or white-label access without authorization; (e) violate any third-party platform's terms when publishing through the Service; (f) use the Service to create deepfakes or impersonate real persons without consent; (g) attempt to circumvent content safety filters or generation limits; or (h) use the Service in a manner that could damage, disable, or impair the Service. We may suspend or terminate access for violations.

11. Your Content

You retain ownership of content you upload or create. By using the Service, you grant us a limited, non-exclusive license to process, analyze, optimize, and publish that content on your behalf to your connected accounts. AI-generated suggestions, drafts, images, and videos are provided to you; you are responsible for reviewing and approving what is published. You represent that you have the rights to any content you upload and that it does not violate these Terms or any third-party rights.

12. AI-Generated Content & Ownership

Content generated by the Service's AI features (images, videos, text) is provided to you for your own business or personal use. To the extent permitted by law, you retain ownership of Generated Content you create. Because AI models are trained on large datasets, we cannot guarantee that Generated Content is unique, original, or free from similarities to existing works. You are responsible for reviewing all Generated Content before publishing or commercializing it. We do not use your prompts, uploads, or Generated Content to train AI models for the benefit of third parties.

13. AI & Third-Party Processing

The Service uses artificial intelligence and large language models, including third-party providers, to analyze content and generate suggestions. AI output may occasionally be inaccurate, biased, or unsuitable. You are responsible for reviewing all AI-generated material before publishing. We are not liable for the results of automated publishing decisions you authorize. The Generators are subject to separate Generator Terms & Conditions.

14. Third-Party Integrations

The Service connects to third-party social platforms (Instagram, Facebook, TikTok, YouTube, LinkedIn, X, Pinterest, Threads, Google Business) and payment infrastructure (Base44 Payments / Wix). These services have their own terms and policies; your use of them is governed by those terms. We are not responsible for their availability, changes, actions, or data practices. You are responsible for complying with each platform's terms when publishing content through the Service.

15. Intellectual Property

The Service, its design, features, branding, and underlying technology are owned by SocialPilot AI and protected by intellectual property laws. These Terms grant no rights to our trademarks, logos, or proprietary technology. You may not copy, modify, distribute, or create derivative works of the Service without our written consent.

16. DMCA & Copyright Notices

If you believe content on the Service infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA) or applicable law. Notices must include: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good-faith belief, and (e) your physical or electronic signature. Send notices to our support team. We will review and respond to valid notices within a reasonable timeframe.

17. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee specific growth results, audience sizes, search rankings, engagement metrics, or AI output quality. We make no warranties that the Service will be uninterrupted, error-free, secure, or compatible with all devices, except as required by law. We do not warrant that generated content will be free from defects or suitable for your intended purpose.

18. Limitation of Liability

To the maximum extent permitted by law, SocialPilot AI and its affiliates shall not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, audience, or goodwill, arising from your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. This limitation applies even if we were advised of the possibility of such damages.

19. Indemnification

You agree to indemnify and hold SocialPilot AI harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content, (b) your use of the Service, (c) your violation of these Terms or third-party rights, or (d) your violation of any social media platform's terms. We reserve the right to assume exclusive defense of any matter for which we are entitled to indemnification.

20. Termination

You may close your account at any time from your settings. We may suspend or terminate access immediately if you violate these Terms, if your account poses a security risk, or if we discontinue the Service or any feature. On termination, your right to use the Service ends; content already published to your social accounts remains subject to those platforms' terms. We may delete your data after a reasonable period following termination.

21. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, labor disputes, internet or power outages, or failures of third-party services.

22. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable in your jurisdiction of residence, with respect to consumer protection. For businesses, disputes are subject to the exclusive jurisdiction of the courts where SocialPilot AI is established. Where required by law, you may bring a claim in the jurisdiction where you reside. Nothing in these Terms limits any statutory consumer rights you may have. We will attempt to resolve disputes informally before formal proceedings.

23. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription.

24. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
